Establishing Structures – registering companies and preparing and negotiating shareholder agreements, unitholder agreements, partnership agreements, joint ventures agreements, development agreements.

Trust Advice – establishing discretionary family trusts, unit trusts, investment trusts and SMSF’s, drafting tailored trust deeds and providing strategic advice on trust variations and unit trust issues and disposals.

Company Acquisitions and Disposals – including preparing and negotiating share sale agreements, share subscription agreements and share buy back arrangements, including all due diligence on company acquisitions and sales.

Business Acquisitions and Disposals – we have been key advisors on the sale and purchase of medical practices, manufacturing businesses, transport businesses, retail businesses and professional service businesses, with our role encompassing the preparation and negotiation of business sales agreements and carrying out all due diligence.

Commercial and Retail Acquisitions and Disposals – acting on behalf of private family groups and Queensland based and national property developers in relation to the disposal and acquisition of service station sites, existing office buildings and retail shopping centres. Such work includes preparing, negotiating and settling all the leases and assisting with the tender process for the disposal of commercial assets and the eventual drafting, negotiation and settling of all contract documentation.

Banking and Finance – including preparing and reviewing commercial and personal loan and security documentation, preparing and advising on guarantees and indemnities for specific and general security agreements, preparing documentation for and advising on mezzanine funding arrangements, preparing and providing advice on mortgage documentation, registration of security interests on the Personal Property Securities Register (PPSR).

Corporate Restructuring — including capital raising, capital reductions, consolidations, share subscriptions, share allotments, share buy backs, share conversions, share splits and reorganisations.

Corporate Governance — advising boards and officers on directors’ duties, board composition, shareholder relations, constitution matters, compliance frameworks, and ESG governance.

Private Mergers and Acquisitions — including buy-ins, sell-downs, joint ventures, and traditional share or asset purchase transactions.
